EULA - End User License Agreement

The following is a legal software license agreement between you, the LICENSEE, and SGK Research Group, Inc. Carefully read this license agreement before using the product. Using the product indicates that you have read this license agreement and agree to its terms.

License. SGK Research Group, Inc. ("Licensor"), as the sole owner and title holder of the enclosed program ("ImageEspresso") and associated manuals ("Manual"), hereby grants you (the "Licensee") the right to use the enclosed Software and Manual only under the terms of this Agreement. Subject to the terms of this Agreement, Licensee has a non-exclusive, non-transferable license to use this copy of the Software solely for internal business purposes in the following manner:

(a) If Licensee has not purchased a license, Licensee has been granted an Evaluation License. An Evaluation License may be used solely for purposes of demonstration, testing and evaluation. Some output functionality, like Copy, Save As, etc. in Evaluation License are disabled.

You may freely distribute 40-day Trial Version to any number of people. Any user who installs and runs the trial version is automatically subject to this license agreement.

You may not charge money for the Trial Version in excess of the distribution media and handling costs. You may not misrepresent the program origin, claim the authorship, alter the program files, and distribute the program without license file or help file. Reverse engineering, decompiling and disassembling the program is strictly prohibited.

After using the program for 40 days you may either purchase the fully functional version of ImageEspresso or stop using the program and uninstall it from your computer's disk. Use of this software after the trial period of 40 days is in violation of international Copyright law!

(b) If Licensee has purchased a License, Licensee may install the Software on one computer and enable ALL functionality by entering provided Unlock Key. Along with the License to use the software you will receive one year of free updates of ImageEspresso.

Grant of License. This license permits you to use one copy of the software included in this package on any single computer. For each software license, the program can be in use on only one computer at any given time. The software is in use when it is either loaded into RAM or installed into the hard disk or other permanent memory.

You have permission to include and distribute this product in a commercial Shareware CD-ROM or other collection, together with other software. If you include it in any such package (Shareware - CD-ROM or otherwise) please keep us informed.

The software is owned by SGK Research Group, Inc. and is protected by United States copyright laws, international treaty provisions, and all other applicable national laws. The software must be treated like all other copyrighted materials (e.g. books and musical recordings).

OTHER RESTRICTIONS. This License Agreement is your proof of license to exercise the rights granted herein and must be retained by you. LICENSEE may not rent or lease the Product. LICENSEE may not reverse engineer, decompile or disassemble the software program except to the extent such foregoing restriction is expressly prohibited by applicable law.

NO WARRANTY. ANY USE BY LICENSEE IS AT THE LICENSEE'S OWN RISK. PRODUCT IS PROVIDED FOR USE ONLY WITH WINDOWS PRODUCTS AND RELATED APPLICATION SOFTWARE AND/OR HARDWARE PRODUCTS. PRODUCT IS PROVIDED FOR USE "AS IS" WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, SGK RESEARCH GROUP, INC. DISCLAIMS ALL WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NONINFRINGEMENT. SGK RESEARCH GROUP, INC. IS NOT OBLIGATED TO PROVIDE ANY UPDATES TO THE PRODUCT.

NO LIABILITY FOR CONSEQUENTIAL DAMAGES. In no event shall SGK Research Group, Inc. be liable for any damages whatsoever (including, without limitation, incidental, direct, indirect and consequential damages, damages for loss of business profits, business interruption, loss of business information, or other pecuniary loss) arising out of the use or inability to use this product, even if advised of the possibility of such damages. Because some states/countries do not allow the exclusion or limitation of liability for consequential or incidental damages, the above limitation may not apply to you.
